Our client is a high-growth tax and strategic advisory firm working with entrepreneurs, investors, privately owned businesses and ambitious companies across the UK and internationally.


The firm supports clients through some of the most important stages in their business journey, including acquisitions, disposals, investment, restructuring and preparation for exit.


Following continued growth, the business is looking to appoint a Mergers & Acquisitions Tax Manager who can lead complex transaction-related tax projects and provide clear, commercially focused advice to business owners and senior leadership teams.

The Role


You will work closely with the firm’s senior leadership team, advising clients throughout the transaction lifecycle.


Your clients will include founder-led businesses, privately owned groups, entrepreneurs, investors and management teams considering a sale, acquisition, investment or wider corporate transaction.


You may become involved at the earliest planning stages, helping business owners understand the tax implications of a proposed transaction and identify the most appropriate structure.


You will then remain closely involved as the deal progresses, working alongside lawyers, corporate finance advisers, accountants and other specialists to manage risk, resolve technical issues and help achieve the best possible outcome for the client.


The role will involve a combination of technical tax advisory work, project leadership and senior client management. You will be expected to look beyond the legislation and understand the commercial purpose of each transaction.


Key Responsibilities


  • Leading tax advisory projects connected to business acquisitions, disposals and investments
  • Advising shareholders, entrepreneurs and management teams before a business sale or exit
  • Supporting clients with the tax structuring of proposed transactions
  • Undertaking tax due diligence and identifying potential risks, exposures and planning opportunities
  • Advising on share sales, asset sales, management buyouts and management buy-ins
  • Supporting corporate reorganisations, demergers and pre-transaction restructuring
  • Advising on capital gains tax, corporation tax and shareholder tax considerations
  • Reviewing transaction documentation from a tax perspective
  • Advising on warranties, indemnities and tax-related provisions within sale and purchase agreements
  • Working alongside legal, corporate finance and other professional advisers throughout the deal process
  • Presenting technical findings and recommendations clearly to business owners and senior stakeholders
  • Reviewing technical work and supporting the development of less experienced team members
  • Helping to develop the firm’s M&A and transaction tax proposition
  • Identifying opportunities to support clients beyond the immediate transaction


The Clients and the Work


The firm’s client base includes entrepreneurs, privately owned companies and established business groups operating across a variety of sectors.


Some clients will be preparing for their first acquisition. Others may be considering the sale of a business they have built over many years, taking external investment or implementing a wider succession strategy.


The work is varied, commercially significant and often time-sensitive. Clients need an adviser who can explain complex tax matters clearly, understand the wider deal dynamics and remain calm when issues arise.


You will have the opportunity to become closely involved in transactions rather than completing one isolated element of the process.

Your Background


You will already have strong experience within corporate tax, transaction tax, deals tax or M&A advisory.


  • CTA, ACA, ACCA, CA or an equivalent professional qualification
  • Experience advising on mergers, acquisitions, disposals or business investments
  • A strong technical background in corporate tax or transaction tax
  • Experience undertaking or reviewing tax due diligence
  • Knowledge of transaction structuring and pre-sale reorganisations
  • An understanding of the tax considerations arising from share and asset sales
  • The ability to interpret complex information and identify commercially significant issues
  • Confidence advising entrepreneurs, shareholders, investors and senior management teams
  • Strong project-management skills and the ability to manage competing deadlines
  • The ability to communicate technical findings clearly to non-tax specialists
  • Experience reviewing work or supporting the development of junior colleagues
  • International transaction tax exposure would be advantageous


The firm will consider an established M&A Tax Manager or Transaction Tax Manager, as well as an ambitious Assistant Manager or experienced Corporate Tax Advisor with strong transaction exposure who is ready to progress.
