In the intricate world of financial services, the role of Company Secretary is pivotal. Our client, a respected entity in the insurance sector, is seeking a seasoned professional to lead and enhance their governance framework. This position offers the opportunity to be at the heart of corporate decision-making, ensuring compliance and fostering a culture of transparency and accountability. You will benefit from the opportunity to shape the governance landscape of a dynamic insurance organisation. This is a crucial role in the business where you will steer the company through the evolving regulatory environment, ensuring that it not only meets its obligations, but also thrives within them. This is a hybrid role, working 2/3 times per month in the office. As Company Secretary, your responsibilities will include:
- Governance Leadership: Advising the Board and its Committees, ensuring adherence to statutory obligations and promoting best practices in corporate governance.
- Board Facilitation: Organising and managing Board meetings, including agenda setting, minute taking, and ensuring effective communication between the Board and management.
- Regulatory Compliance: Staying abreast of legal and regulatory changes, ensuring timely filings with Companies House and other regulatory bodies.
- Statutory Record Maintenance: Maintaining and updating statutory registers, ensuring accurate records of directors, shareholders, and other key stakeholders.
- Strategic Collaboration: Working closely with senior leadership to align governance strategies with the company's overall objectives.
- Qualifications: A qualified solicitor with substantial post-qualification experience, preferably within the financial services or insurance sectors.
- Experience: Demonstrated experience in a Company Secretary role, with a deep understanding of corporate governance frameworks and legal compliance requirements.
- Skills: Exceptional communication and interpersonal skills, with the ability to influence and advise at all organizational levels.
- Attributes: A proactive and strategic thinker, capable of navigating complex legal issues and contributing to the company's long-term success.
